§ 341. Certificate of incorporation.
1.If the meeting shall decide\nthat such congregation shall become an incorporated church of the\nByelorussian Autocephalic Orthodox Church in America, a certificate of\nincorporation therefor shall be executed and acknowledged by the\narchbishop, or bishop, who is administrator of the Byelorussian\nAutocephalic Orthodox Church in America, the rector of the congregation\nand by the laymen trustees that have been elected, and by the clerk of\nthe corporation, and the said certificate of incorporation shall contain\nthe following:\n (a) The name by which the proposed corporation shall be known;\n (b) The number of laymen trustees thereof; the names and addresses of\nthe persons elected as trustees; and the term of office for which they\nwere respecti

If the meeting shall decide\nthat such congregation shall become an incorporated church of the\nByelorussian Autocephalic Orthodox Church in America, a certificate of\nincorporation therefor shall be executed and acknowledged by the\narchbishop, or bishop, who is administrator of the Byelorussian\nAutocephalic Orthodox Church in America, the rector of the congregation\nand by the laymen trustees that have been elected, and by the clerk of\nthe corporation, and the said certificate of incorporation shall contain\nthe following:\n (a) The name by which the proposed corporation shall be known;\n (b) The number of laymen trustees thereof; the names and addresses of\nthe persons elected as trustees; and the term of office for which they\nwere respectively elected;\n (c) An exact copy of the resolution which provides for the clerical\ntrustees by virtue of their offices;\n (d) The name of county, town, city or village in which the principal\nplace of worship or office is or is intended to be located;\n (e) The purpose and intent for which said corporation is created, to\nbe set forth as follows:\n "The purpose and intent of this corporation is to maintain, propagate,\npractice and forever perpetuate religious worship, services, sacraments\nand teaching in full accordance and unity with the doctrine, ritual,\ncanon law, faith, practice, discipline, and traditions and usages of the\nHoly Orthodox Church; and for carrying out of said purpose and intent,\nto form and maintain a religious organization of church adherent and\nobedient to the ecclesiastical jurisdiction and authority of the\narchbishop, or bishop, or administrator of the Byelorussian Autocephalic\nOrthodox Church in America and certified by the governing ecclesiastical\nbody of the Byelorussian Autocephalic Orthodox Church, as canonical and\nduly appointed."\n (f) In the certificate of incorporation of societies or organizations,\nother than churches, special purposes, additional to the above, may be\nset forth.\n 2. On filing such certificate in the office of the county clerk of the\ncounty in which such church is or is intended to be located, such church\nshall be a corporation by the name stated in the certificate, and the\npersons therein stated to be elected clerical and laymen trustees of\nsuch church shall be trustees therefor for their respective terms and\nuntil their successors are elected.\n
