Text

(a)This section applies to a person who:
(1)is a nonresident of Indiana; and
(2)accepts an election or appointment as a director or serves as a director in a corporation organized under the laws of Indiana.
(b)By and as a condition of:
(1)accepting an election or appointment as a director; or
(2)serving as a director; a person described in subsection (a) automatically appoints the resident agent of the corporation as the person's agent upon whom process may be served in an action commenced by or against the corporation and in which the person is a proper or necessary party.
