§ 6004 — Fixing record date

§ 6004. Fixing record date.
1.For the purpose of determining the\nstockholders entitled to notice of or to vote at any meeting of\nstockholders or any adjournment thereof, or to express consent to or\ndissent from any proposal without a meeting, or for the purpose of\ndetermining stockholders entitled to receive payment of any dividend or\nthe allotment of any rights, or for the purpose of any other action, the\nby-laws may provide for fixing or, in the absence of such provision, the\nboard may fix, in advance, a date as the record date for any such\ndetermination of stockholders. Such date shall not be more than fifty\nnor less than ten days before the date of such meeting, nor more than\nfifty days prior to any other action.\n 2.
