§ 7-64-105 — Filing and recording of statements

(1)A statement may be delivered to the secretary of state for filing pursuant to part 3 of article 90 of this title. A certified copy of a statement that is filed in an office in another jurisdiction may be delivered to the secretary of state for filing pursuant to part 3 of article 90 of this title. Either filing in this state has the effect provided in this article with respect to partnership property located in or transactions that occur in this state.

(2)Only a copy of a filed statement recorded in the office for recording transfers of real property has the effect provided for recorded statements in this article.

(1) A statement may be

(5) A person who delivers or causes a statement to be delivered to the
secretary of state for filing pursuant to this section shall promptly deliver a copy of
the statement to every nonfiling partner and to any other person named as a
partner in the statement. Failure to deliver a copy of a statement to a partner or
other person does not limit the effectiveness of the statement as to a person not a
partner.
