Text
(1)The initial bylaws shall be adopted by all of the
members either before or after its articles of association are filed.
(2)The bylaws may be amended at any time, either before or after the
articles of association are filed, by all of the members.
(3)Except as otherwise provided in subsection (4) or (6) of this section:
(a)The bylaws govern all matters relating to the business and affairs of an
association;
(b)The affairs of an association governed by the bylaws include, without
limitation, the rights; duties; authority; liability; indemnification; admission and
qualifications of; limitations on and dealings and other relations among and
between the managers, officers, agents, members, transferees and other
successors to the interest of a member; and the association; and
