Text
(1)A limited partnership may amend
its certificate of limited partnership by delivering a certificate of amendment to the
secretary of state, for filing pursuant to part 3 of article 90 of this title, stating:
(a)The domestic entity name of the limited partnership; and
(b)(Deleted by amendment, L. 2004, p. 1440, � 126, effective July 1, 2004.)
(c)The amendment to the certificate.
(2)Within thirty days after the happening of any of the following events, an
amendment to a certificate of limited partnership reflecting the occurrence of the
event or events shall be filed:
(a)The admission of a new general partner; or
(b)The withdrawal of a general partner.
(3)A general partner who becomes aware that any statement in a certificate
of limited partnership was false when made o
