When used in this chapter, unless the context otherwise requires:

(a)"Commissioner" means the Auditor of the State of West Virginia.
(b)"Agent" means any individual other than a broker-dealer who represents a broker-dealer or issuer in effecting or attempting to effect purchases or sales of securities. "Agent" does not include an individual who represents an issuer in:
(1)Effecting transactions in a security exempted by subdivision (1), (2), (3), (10) or (11), subsection (a), section four hundred two of this article;
(2)effecting transactions exempted by subsection (b), section four hundred two of this article;
(3)effecting transactions in a covered security as described in section 18(b)(3) and section 18(b)(4)(d) of the Securities Act of 1933;
