§ 1500-c. City of Buffalo parking authority.
1.A board to be known as\nthe "city of Buffalo parking authority" is hereby created. Such board\nshall be a body corporate and politic, constituting a public benefit\ncorporation, and its existence shall commence upon the appointment of\nthe members as herein provided. It shall consist of a chair and four\nother members, who shall be appointed by the mayor of the city of\nBuffalo, with the advice and consent of the city of Buffalo common\ncouncil. Vacancies in such board\noccurring otherwise than by the expiration of term shall be filled for\nthe unexpired term. The members of the board shall choose from their\nnumber a vice-chair. The members of the board shall not be compensated\nfor their services, however, members shall be entitled to reimbursement\nfor any actual and necessary expenses incurred in the performance of\nsuch member's official duties. The powers of the authority shall be\nvested in and exercised by a majority of the members of the board. Such\nboard may delegate to one or more of its members or to its officers,\nagents and employees such powers and duties as it may deem proper.\n 2. Notwithstanding any inconsistent provisions of any general, special\nor local law, ordinance, resolution or charter, no officer, member or\nemployee of the state or of any public authority shall forfeit such\nofficer, member or employee's office or employment by reason of such\nacceptance of appointment as a member, officer or employee of the\nauthority, nor shall service as such member, officer or employee be\ndeemed incompatible or in conflict with such office, membership or\nemployment.\n 3. (a) The mayor of the city shall file on or before December\nthirty-first of the year in which this title shall take effect, in the\noffice of the secretary of state, a certificate signed by the mayor\nsetting forth:\n (i) the name of the authority;\n (ii) the names of the members of the board and their terms of office;\nand\n (iii) the effective date of this title.\n (b) If such certificate is not filed with the secretary of state on or\nbefore such date, then the corporate existence of the authority shall\nthereupon terminate and it shall thereupon be deemed to be and shall be\ndissolved.\n 4. The city of Buffalo parking authority shall not be authorized to\nexercise the powers, duties, and functions outlined in this article\nuntil all initial members and the initial chair are appointed.\n
