Text
The duty of the Secretary of State to file documents under this chapter is ministerial. The filing or refusal to file a document does not:
1.Validity of documents.
Affect the validity or invalidity of the document in whole or in part;
2.Correctness of information.
Relate to the correctness or incorrectness of information contained in the document; or
3.Presumption of validity or correctness.
Create a presumption that the document is valid or invalid or that the information in the document is correct or incorrect.
