Text

(1)Terms defined in Sections 76-1-101.5, 76-16-101, and 76-16-201 apply to this section.
(2)An actor commits prohibited refusal of inspection or copying of corporate books if the actor:
(2)(a) is an officer or agent of a corporation having or keeping an office within this state;
(2)(b) has in the actor's custody or control the books of the corporation; and
(2)(c) refuses to give to a bona fide stockholder of record or member of the corporation, lawfully demanded during office hours, the right to inspect or take a copy of all or part of the corporation's books.
(3)A violation of Subsection (2) is a class B misdemeanor.
