§ 76-16-214 — Unlawful stock issuance.

(1)Terms defined in Sections 76-1-101.5, 76-16-101, and 76-16-201 apply to this section.
(2)An actor commits unlawful stock issuance if the actor:
(2)(a) is:
(2)(a)(i) a director, officer, agent, or member of a corporation or association; or
(2)(a)(ii) a person who aids or abets a person described in Subsection (2)(a)(i); and
(2)(b) issues fraudulent, fictitious, or illegal stock in the corporation or association, with the intent:
(2)(b)(i) to injure or defraud:
(2)(b)(i)(A) the corporation or association;
(2)(b)(i)(B) any other company;
(2)(b)(i)(C) a body politic; or
(2)(b)(i)(D) an individual person; or
(2)(b)(ii) to deceive:
(2)(b)(ii)(A) an officer of the corporation or association; or
(2)(b)(ii)(B) an agent appointed to examine the affairs of the corporation or association.
