Text

(1)Terms defined in Sections 76-1-101.5, 76-16-101, and 76-16-201 apply to this section.
(2)An actor commits unauthorized corporate or association action if the actor:
(2)(a) is:
(2)(a)(i) a director, officer, agent, or member of a corporation or association; or
(2)(a)(ii) a person who aids or abets a person described in Subsection (2)(a)(i); and
(2)(b) without having the authority to do so:
(2)(b)(i) issues or puts forth a certificate of deposit;
(2)(b)(ii) draws an order or bill of exchange;
(2)(b)(iii) makes an acceptance; or
(2)(b)(iv) assigns a note, bond, draft, bill of exchange, mortgage, judgment, or decree.
(3)A violation of Subsection (2) is a third degree felony.
