Text

(1)Terms defined in Sections 76-1-101.5, 76-16-101, and 76-16-201 apply to this section.
(2)An actor commits fraudulent signing of a stock subscription or agreement if the actor:
(2)(a) signs the name of a fictitious person to a subscription for, or agreement to take, stock in a proposed or existing corporation; or
(2)(b) signs the name of any person to a subscription for, or agreement to take, stock in a proposed or existing corporation, knowing that the person has no means or does not intend in good faith to comply with all the terms of the subscription or agreement, or under any understanding or agreement that the terms of the subscription or agreement are not to be complied with or enforced.
(3)A violation of Subsection (2) is a class B misdemeanor.
