§ 416. Vacancies.

(a)Except as provided in the operating agreement,\nif management of the limited liability company is vested in a group of\nmanagers, any vacancies occurring in such group may be filled by the\nvote of a majority in interest of the members entitled to vote thereon.\n (b) Except as provided in the operating agreement, a manager chosen to\nfill a vacancy shall serve the unexpired term of his or her predecessor.\n (c) Except as provided in the operating agreement, any manager's\nposition filled by reason of an increase in the number of managers shall\nbe filled by the vote of a majority in interest of the members entitled\nto vote thereon.\n (d) Except as provided in the operating agreement, a manager chosen to\nfill a position resulting from an increase in the number o
