§ 1001. Merger or consolidation.

(a)As used in this article, "merger"\nmeans a procedure in which two or more limited liability companies or\nother business entities merge into a single limited liability company or\nother business entity that shall be one of the constituent limited\nliability companies or other business entities, and "consolidation"\nmeans a procedure in which two or more limited liability companies or\nother business entities consolidate into a single limited liability\ncompany or other business entity that shall be a new limited liability\ncompany or other business entity to be formed pursuant to the\nconsolidation.\n (b) Pursuant to an agreement of merger or consolidation and to the\nextent not expressly prohibited by law, a domestic limited liability\ncompany may m
