§ 8012. Directors and officers. Except as otherwise provided in the\nplan of reorganization and subject to subsection (d) of section eight\nthousand seventeen of this article, the directors and officers of the\nreorganizing insurer shall serve as directors and officers of the\nreorganized insurer, any stock holding company and the mutual holding\ncompany until new directors and officers have been duly elected and\nqualified pursuant to the charter or certificate of incorporation and\nthe by-laws of the respective companies.\n
