§ 293-C:2 — Definitions

New Hampshire·Title XXVII CORPORATIONS, ASSOCIATIONS, AND PROPRIETORS OF COMMON LANDS·Ch. 293-C BENEFIT CORPORATIONS·Subdivision Preliminary Provisions

In this chapter: I. "Benefit corporation" means a business corporation:

(a)That has elected to become subject to this chapter; and
(b)The status of which as a benefit corporation has not been terminated. II. "Benefit director" means either:
(a)The director designated as the benefit director of a benefit corporation under RSA 293-C:8; or
(b)A person with one or more of the powers, duties, or rights of a benefit director to the extent provided in the bylaws under RSA 293-C:8, VI. III. "Benefit enforcement proceeding" means any claim or action or proceeding for:
(a)Failure of a benefit corporation to pursue or create general public benefit or a specific public benefit purpose set forth in its articles; or
(b)Violation of any obligation, duty, or standard of conduct under this chapter. I
