30-24-108 . Transition from foreign entity to Montana entity for network token issuers. A foreign corporation that has previously issued network tokens may be granted an exemption under 30-10-105 if, prior to the offer or sale of tokens, the foreign corporation completes the following:
(1)registers with the secretary of state as provided in 35-2-820 through 35-2-830 ;
(2)meets all obligations under 30-24-107 ;
(3)provides the commissioner with all relevant governing documents related to incorporation in the foreign corporation's country;
(4)provides proof that the foreign corporation is not under investigation for securities fraud or has not been convicted of securities fraud in any other jurisdiction; and
(5)provides other information the commissioner considers relevant to the exempt
