Subdivision 1.Civil and criminal penalties. Any person, including a controlling person of an offeror or target company, who willfully violates any provision of sections80B.01to80B.13or any rule thereunder, or any order of the commissioner of which this person has notice, may be fined not more than $25,000 or imprisoned not more than five years or both. Each of the acts specified shall constitute a separate offense and a prosecution or conviction for any one of such offenses shall not bar prosecution or conviction for any other offense. No indictment or information may be returned under sections80B.01to80B.13more than six years after the alleged violation. Subd. 2.Referral of evidence to criminal prosecutors.
