Subdivision 1.Appointment.

(a)The board may appoint an executive director.
(b)The executive director is the executive and operating officer of the district, shall serve at the pleasure of the board, and shall receive compensation set by the board. Subd. 2.Duties and powers.
(a)Under the supervision of the board, the executive director is responsible for the operation, management, and promotion of all activities of the district and other duties prescribed by the governing board.
(b)The executive director has the powers necessarily incident to the performance of the executive director's duties and other powers granted by the board, except the director does not have authority to incur liability or make expenditures on behalf of the district without general or specific directions by the
