§85. Recording articles of association; fees; certificate of incorporation
A.The articles of association of each association organized hereunder shall be filed
with the secretary of state. The secretary of state shall record the articles of association and
issue a certificate showing the date and hour when the original articles were filed for record.
Thereupon its corporate existence shall begin. For the purposes of this Title, any document
required to be filed with the secretary of state shall be deemed filed when it is received either
physically or electronically in any office designated by the secretary of state for the receipt
of such documents.
