Text
1.The association shall be governed by a board of eleven directors of whom three shall
be appointed annually by the commissioner to represent the licensed health care providers.
Eight members shall be elected annually, except as provided in subsection 2, by the members
of the association. Vacancies on the board shall be filled for the remaining period of the term
by majority vote of the remaining directors subject to approval of the commissioner.

a.The commissioner shall designate a time and place for a meeting of the members
of the association at which the eight elected members serving on the board shall be elected.
The commissioner shall appoint the appointive members of the board on or before the date
of the meeting.
