Contractsandagreementsenteredintobetweenassociationsandthemembersthereofmay,
where damages that may be sustained for the breach thereof are difficult of ascertainment,
provide for such penalties as may be agreed upon, which penalties, if the parties thereto so
agree, shallbeconstruedasliquidateddamagesandbeenforceableinthefullamountthereof
both at law and in equity.
