Text
Upon the payment of all fees and charges and upon the filing of the articles of consolidation
or merger with the secretary of state the secretary of state shall issue to the corporation or its
representative a certificate of consolidation or a certificate of merger and upon the issuance
of said certificate the merger or consolidation shall be effected.
