(a)If a partner is dissociated from a partnership without resulting in a dissolution and winding up of the partnership business under section 34-372, the partnership shall cause the dissociated partner's interest in the partnership to be purchased for a buyout price determined pursuant to subsection (b) of this section.
(b)The buyout price of a dissociated partner's interest is the amount that would have been distributable to the dissociating partner under subsection (b) of section 34-378 if, on the date of dissociation, the assets of the partnership were sold at a price equal to the greater of the liquidation value or the value based on a sale of the entire business as a going concern without the dissociated partner and the partnership were wound up as of that date. (b): Date of dissociation for purpose of valuing dissociated partner's interest in partnership is date on which an appeal from judgment of dissociation has been decided and time to file a motion for reconsideration of decision has expired. 316 C. 677. Subsec. (h): A partner who wrongfully dissociated from the partnership is not entitled to interest on buyout award until the award becomes due and owing. 316 C. 677. Subsec. (i): Only a dissociated partner, and not a remaining partner, may bring an action to compel valuation, and remaining partner's claim for equitable relief to compel valuation conflicts with Sec. 34-303(a) which provides that Uniform Partnership Act governs matters not governed by partnership agreement. 293 C. 60.
