Text
(a)It is the policy of this section and sections 34-243 to 34-283c, inclusive, to give maximum effect to the principle of freedom of contract and to enforceability of limited liability company agreements.
(b)Unless displaced by particular provisions of this section and sections 34-243 to 34-283c , inclusive, the principles of law and equity supplement said sections.
(c)Rules that statutes in derogation of the common law are to be strictly construed shall have no application under this section and sections 34-243 to 34-283c , inclusive.
(d)Neither this section, sections 34-243 to 34-283c , inclusive, nor any amendments to said sections shall be construed to impair the obligations of any contract existing on, or affect any action or proceedings begun or right accrued before July 1, 2017,
