(a)In a member-managed limited liability company, the following rules apply:
(1)On reasonable notice, a member may inspect and copy during regular business hours, at a reasonable location specified by the company, any record maintained by the company regarding the company's activities, affairs, financial condition and other circumstances to the extent the information is material to the member's rights and duties under the operating agreement or sections 34-243 to 34-283d , inclusive.
(2)The company shall furnish to each member:
(A)Without demand, any information concerning the company's activities, affairs, financial condition, and other circumstances which the company knows and is material to the proper exercise of the member's rights and duties under the operating agreement or sectio

(P.A. 16-97, S. 48.) History: P.A. 16-97 effective July 1, 2017. Subsec. (b)(2) does not require member of a manager-managed limited liability company who is seeking information to ascertain whether mismanagement has occurred to provide credible proof of mismanagement, but trial court may consider absence of facts demonstrating basis to suspect mismanagement and other factors in determining whether an improper purpose is the true reason for the demand for information and the extent to which disclosure is just and reasonable under the circumstances. 341 C. 189.
