Text

(a)A limited liability company has the capacity to sue and be sued in its own name and the power to do all things necessary or convenient to carry on its activities and affairs.
(b)A limited liability company may be formed under sections 34-243 to 34-283d , inclusive, for the transaction of any business or the promotion of any purpose which may be lawfully carried on by a limited liability company except that of a Connecticut bank as defined in section 36a-2 .
(c)Except as provided in this subsection, a limited liability company may be formed to render professional services, provided:
(1)Each member of the limited liability company must be licensed or otherwise authorized by law in this state or any other jurisdiction to render such professional services;
