Text

(a)A foreign corporation authorized to conduct affairs in this state may not withdraw from this state until it obtains a certificate of withdrawal from the Secretary of the State.
(b)A foreign corporation authorized to conduct affairs in this state may apply for a certificate of withdrawal by delivering an application to the Secretary of the State for filing. The application shall set forth:
(1)The name of the foreign corporation and the name of the state or country under whose law it is incorporated;
(2)that it is not conducting affairs in this state and that it surrenders its authority to conduct affairs in this state;
(3)that it revokes the authority of its registered agent to accept service on its behalf and appoints the Secretary of the State and his successors in office as its a

(b)(3) to provide that the appointment is of the Secretary of the State “and his successors in office” and amended Subsec. (c) to provide that service on the Secretary of the State is made “as provided in Sec. 33-1219” rather than “under this section” and delete provision that required the Secretary of the State to mail a copy of the process to the foreign corporation, effective June 27, 1997.
