Text
(a)The superior court for the judicial district where a corporation's principal office in this state is located may summarily order a meeting of the board of directors to be held:
(1)On application of any director of the corporation if no meeting of the board of directors has been held for a period of twelve months or more; or (2) on application of a director who signed a demand for a special meeting valid under the bylaws if:
(A)Notice of the special meeting was not given within thirty days after the date the demand was delivered to the corporation's secretary; or (B) the special meeting was not held in accordance with the notice.
