Text
(1)The board shall elect
from its members a president, a vice-president, and such other board officers as it
shall determine. All board officers shall hold their offices at the pleasure of the
board.
(2)Regular meetings of the board shall be held not less than once every
three months at such times as may be fixed by resolution of the board. All meetings
of the board, in every suit and proceeding, shall be considered to have been duly
called and regularly held and all orders and proceedings of the board to have been
authorized, unless the contrary is proven.
(3)The board shall adopt, and at any time may amend, bylaws in relation to
its meetings and the transaction of its business. A majority shall constitute a
