§ 1.1502-21 Net operating losses.

(a)Consolidated net operating loss deduction—
(1)In general. Subject to any limitations under the Internal Revenue Code or this chapter (for example, the limitations under section 172(a)(2) and paragraph (a)(2) of this section), the consolidated net operating loss deduction (or CNOL deduction) for any consolidated return year is the aggregate of the net operating loss carryovers and carrybacks to the year. The net operating loss carryovers and carrybacks consist of—
(i)Any CNOLs (as defined in paragraph (e) of this section) of the consolidated group; and
(ii)Any net operating losses (or NOLs) of the members arising in separate return years.
