(1)(1)(a) A dissolved limited partnership shall wind up the limited partnership's activities and affairs.
(1)(b) Except as otherwise provided in Section 48-2e-803, the limited partnership only continues after dissolution for the purpose of winding up.
(2)In winding up the limited partnership's activities and affairs, the limited partnership:
(2)(a) shall discharge the limited partnership's debts, obligations, and other liabilities, settle and close the limited partnership's activities and affairs, and marshal and distribute the assets of the limited partnership; and
(2)(b) may:
(2)(b)(i) amend its certificate of limited partnership to state that the limited partnership is dissolved;
(2)(b)(ii) preserve the limited partnership activities, affairs, and property as a going concern for a re
