(1)(1)(a) Except as provided in Subsection (1)(b), a corporation's board of directors shall consist of a minimum of three individuals.
(1)(b) (1)(b)(i) Before any shares are issued, a corporation's board of directors may consist of one or more individuals.
(1)(b)(ii) After shares are issued and for as long as a corporation has fewer than three shareholders entitled to vote for the election of directors, its board of directors may consist of a number of individuals equal to or greater than the number of those shareholders.
