(1)(1)(a) Unless otherwise provided in the articles of incorporation, and subject to the limitations of Subsection 16-10a-1704(4), any action that may be taken at an annual or special meeting of shareholders may be taken without a meeting and without prior notice, if one or more consents in writing, setting forth the action so taken are signed by the holders of outstanding shares having not less than the minimum number of votes that would be necessary to authorize or take the action at a meeting at which all shares entitled to vote on the action were present and voted.
(1)(b) A shareholder shall deliver written consent under this section to the corporation by delivering the written consent to:
(1)(b)(i) the corporation's principal place of business; or
(1)(b)(ii) an officer or agent of th
