Sec. 162.073. COMPENSATION OF DIRECTORS.
(a)A director may not receive a salary for services as a director. Except in an emergency, a director may not receive a salary for services in a capacity other than director without the approval of the members.
(b)The bylaws may:
(1)prescribe a fixed fee for attendance at each board meeting, committee meeting, industry-related conference approved by the board, or training program; and
(2)provide for reimbursement of actual expenses of attendance or a reasonable per diem.
