§ 33-37-440 — Powers of stockholders and members.
South Carolina·Title 33 CORPORATIONS, PARTNERSHIPS AND ASSOCIATIONS·Ch. 37 BUSINESS DEVELOPMENT CORPORATIONS
The stockholders and the members of the corporation shall have the following powers of the corporation:
(1)to elect directors;
(2)to make, amend, and repeal bylaws;
(3)to amend the charter; and (4) to exercise those powers of the corporation as may be conferred on the stockholders and the members by the bylaws.

Effect of Amendment 2015 Act No. 60, SECTION 1, in (1) through (4), changed "To" to lower case; in (2), inserted a comma following "amend"; and in (4), substituted "those powers" for "such other of the powers".
