§ 70.105 — Remedy for false statements in certificate

Text

If any certificate of limited partnership or certificate of amendment or cancellation contains a false material statement, one who suffers loss by reliance on the statement may recover damages for the loss from any of the following persons:

(1)Any party to the certificate who knew, and any general partner who knew or should have known, the statement to be false at the time the certificate was executed; or
(2)Any general partner who:
(a)After the certificate was executed, knew or should have known that any arrangement or other fact described in the certificate had changed, thus making any material statement in the certificate false; and
(b)Had a reasonably sufficient time before the statement was relied upon to cancel or amend the certificate, or to file a petition for its cancellation
