Text

(A)A partner of a domestic limited partnership is entitled to relief as a dissenting partner in respect of the proposals described in section1782.435of the Revised Code only in compliance with this section.
(B)If the proposal of merger, consolidation, or conversion is to be submitted to the partners at a meeting, the dissenting partner shall be a partner and a record holder of the partnership interests as to which the dissenting partner seeks relief as of the date fixed for the determination of partners entitled to notice of the meeting, and such interests shall not have been voted in favor of the proposal.
