§ 7. Administration of the board.
1.The membership of the board shall\nbe the secretary of state, the comptroller (pursuant to his authority to\nsupervise the accounts of any political subdivision of the state), the\nmayor and four members appointed by the governor with the advice and\nconsent of the senate. Such appointed members shall serve at the\npleasure of the governor. The secretary of state shall be the chairman\nof the board and he or his representative shall preside over all\nmeetings of the board. The board shall act by majority vote of the\nentire board. The board shall maintain a record of its proceedings in\nsuch form as it may determine, but such record shall indicate attendance\nand all votes cast by each member. The secretary of state and\ncomptroller shall be entitled to designate a representative to attend,\nin his place, meetings of the board and to vote or otherwise act in his\nbehalf. Written notice of such designation shall be furnished to the\nboard by the designating member prior to any meeting attended by his\nrepresentative. Any representative shall serve at the pleasure of the\ndesignating member. No representative shall be authorized to delegate\nany of his duties or functions to any other person. The temporary\npresident of the senate, speaker of the assembly, minority leader of the\nsenate and minority leader of the assembly shall each be entitled to\nappoint a representative to the board, the county executive of the\ncounty of Westchester shall be entitled to appoint a county official as\na representative to the board and the board shall be entitled to appoint\na representative to the board to represent the employees of the city of\nYonkers. Each such representative shall be entitled to receive notice of\nand to attend all meetings of the board but shall not be entitled to\nvote. Each representative shall serve at the pleasure of the appointing\nofficial or body, shall be eligible for reappointment, and shall hold\noffice until his successor has been appointed.\n 2. Notwithstanding any inconsistent provisions of law, general,\nspecial or local, no officer or employee of the state, or political\nsubdivision of the state, any governmental entity operating any public\nschool or college or other public agency or instrumentality or unit of\ngovernment which exercises governmental powers under the laws of the\nstate, shall forfeit his office or employment by reason of his\nacceptance or appointment as a member, representative, officer, employee\nor agent of the board nor shall service as such member, representative,\nofficer, employee or agent of the board be deemed incompatible or in\nconflict with such office or employment.\n 3. The members of the board appointed by the governor and all\nrepresentatives designated by members of the board shall serve without\nsalary or per diem allowance but shall be entitled to reimbursement by\nthe city for actual and necessary expenses incurred in the performance\nof official duties under this act, provided, however, that such members\nand representatives are not, at the time such expenses are incurred,\npublic employees otherwise entitled to such reimbursement.\n 4. The board may delegate to one or more of its officers, employees or\nagents, such powers and duties as the board may deem proper, except any\nduties inconsistent with the duties and functions prescribed by any\nother office or position any such person may hold.\n
