§ 2. There is also hereby created and established the Albany port\ndistrict commission, hereinafter called "the commission", which shall be\na body corporate and have the powers, duties and jurisdiction\nhereinafter enumerated, and such other additional powers and duties as\nmay from time to time be conferred upon it by the legislature of the\nstate. In the event a mayor shall within twenty\ndays after the receipt of such disapproved nomination fail to nominate\nanother person in his or her place and stead, the governor shall appoint\nas a member of such commission a resident of the city in which the\nperson originally nominated resides at the time of such original\nnomination. The terms of office of the members of the commission shall\nbe three years from the date of their appointment. A vacancy in the\ncommission arising by reason of death, resignation, or otherwise, shall\nbe filled for the balance of the unexpired term in the same manner as\nthe original appointment was made. The members of the commission shall,\nbefore entering upon the duties of their office, take the constitutional\noath of office, and file the same in the office of the secretary of\nstate. The commission shall organize by the selection from its members\nof a chairman, and the appointment of a secretary and treasurer. It\nshall adopt such rules as it may deem necessary and proper for the\ngovernment of its own proceedings and the regulation and use of port\nfacilities in the district, and shall keep a record of its proceedings.\nA majority of the members of such commission shall constitute a quorum\nfor the transaction of business and the concurrence of a majority of\nsuch commission shall be necessary to the validity of any order of the\ncommission, except as otherwise provided by the local finance law. Any\nmember of the commission may be removed by the governor for\ninefficiency, neglect of duty or misconduct in office, after a hearing\nupon charges and an opportunity to be heard in his or her own defense in\nperson or by counsel upon not less than ten days' notice. The chairman\nand members of the commission shall not receive a salary or other\ncompensation, but the chairman and each member shall be reimbursed for\nhis or her actual and necessary disbursements incurred in the discharge\nof his or her duties.\n
