§ 88A.250 — Certificate of amendment, restatement or cancellation and articles of merger: Filing and effectiveness of certificates and articles

1. A certificate of amendment or restatement filed with the Secretary of State pursuant to this chapter is effective:

(a)At the time of the filing of the certificate or restatement with the Secretary of State;

(b)Upon a later date and time as specified in the certificate, which date must not be more than 90 days after the date on which the certificate or restatement is filed with the Secretary of State; or

(c)If the certificate or restatement specifies a later effective date but does not specify an effective time, at 12:01 a.m. in the Pacific time zone on the specified later date. (c) If the certificate or articles specify a later effective date but do not specify an effective time, at 12:01 a.m. in the Pacific time zone on the specified later date.
