§ 87A.540 — Filing requirements; prohibition against registration for certain illegal purposes; required provisions of application for registration

1. Before transacting business in this State, a foreign limited partnership shall register with the Secretary of State. A person shall not register a foreign limited partnership with the Secretary of State for any illegal purpose or with the fraudulent intent to conceal any business activity, or lack thereof, from another person or a governmental agency. 2. In order to register, a foreign limited partnership shall submit to the Secretary of State an application for registration as a foreign limited partnership, signed by a general partner. The application for registration must set forth:

(a)The name of the foreign limited partnership and, if different, the name under which it proposes to register and transact business in this State;
(b)The state or jurisdiction under whose law the foreig
