§ 87A.275 — Correction of inaccurate or defective record filed with Secretary of State; cancellation of filings

Nevada·Title 7 BUSINESS ASSOCIATIONS; SECURITIES; COMMODITIES·Ch. 87A Uniform· FORMATION; CERTIFICATE OF LIMITED PARTNERSHIP AND OTHER FILINGS

1. A limited partnership or foreign limited partnership may correct a record filed in the Office of the Secretary of State with respect to the limited partnership or foreign limited partnership if the record contains false or erroneous information or if the record was defectively signed, attested, sealed, verified or acknowledged, including, without limitation, if the record was filed erroneously. 2. To correct a record, the limited partnership or foreign limited partnership must:

(a)Prepare a certificate of correction that:
(1)States the name of the limited partnership or foreign limited partnership;
(2)Describes the record, including, without limitation, its filing date;
(3)Specifies the false or erroneous information or the defect in the record, including, without limitation, if and
