§ 86.568 — Correction of inaccurate or defective record filed with Secretary of State; cancellation of filings

1. A limited-liability company may correct a record filed in the Office of the Secretary of State with respect to the limited-liability company if the record contains an inaccurate description of a company action or was defectively signed, attested, sealed, verified or acknowledged, including, without limitation, if the record was filed erroneously. 2. To correct a record, the limited-liability company must:

(a)Prepare a certificate of correction that:
(1)States the name of the limited-liability company;
(2)Describes the record, including, without limitation, its filing date;
(3)Specifies the inaccuracy or defect in the record, including, without limitation, if and to the extent applicable, the error in the filing of the record;
(4)Sets forth such information as is necessary so as to
