trustees. A. Cumulative to any other provision of the Rural Electric Cooperative Act as now or hereafter enacted, the bylaws of a cooperative may provide that a trustee shall not be personally liable to the cooperative or to its members for monetary damages for breach of fiduciary duty as a trustee unless:

(1)the trustee has breached or failed to perform the duties of his office in compliance with Section 62-15-9.1 NMSA 1978; and (2) the breach or failure to perform constitutes willful misconduct or recklessless [recklessness]; or in the case of a trustee of a cooperative actively engaged in the generation and transmission of electric power, negligence, willful misconduct or recklessness.
