70.Pleading. In a derivative action under section 68 of this act, the complaint shall state with particularity: a. The date and content of plaintiff's demand and the response to the demand by the managers or other members; or b. If a demand has not been made, the reasons a demand under subsection a. of section 68 of this act would be futile. L.2012, c.50, s.70.
