Text

(a)All of a state bank's powers shall be exercised by or under the authority of its board of directors, and the business and affairs of the state bank shall be managed by or under the direction, and subject to the oversight, of its board of directors, subject to any limitation set forth in the organizational documents.
(b)The board shall establish the policies and procedures for the conduct of the affairs of the state bank and shall supervise the affairs of the state bank to ensure that those policies and procedures are being adhered to by its officers and employees and that its operations are in compliance with federal and state laws and the state bank's organizational documents.
