Text

I. Unless the operating agreement provides otherwise, and subject to paragraph II, there shall be, within 30 days after a written demand by any member, a meeting of the members to consider the business and internal affairs of the limited liability company and to take any action permitted to be taken by the members by law, or under the operating agreement. II. No meeting shall be required under paragraph I if there has been such a meeting within 240 days before delivery of the demand under that section. III. In addition to any other business that may come before a meeting under paragraph I:

(a)The persons having management of the limited liability company shall report on the business and internal affairs of the company during the meeting; and
(b)They shall either make available in writing
