Text

I. A foreign limited liability company doing business in New Hampshire may not maintain any action, suit or proceeding in New Hampshire until it has registered in New Hampshire and has paid all fees for the period during which it did business in New Hampshire while unregistered. II. The failure of a foreign limited liability company to register in New Hampshire does not:

(a)Impair the validity of any contract or act of the foreign limited liability company.
(b)Impair the right of any other party to the contract to maintain any action, suit, or proceeding on the contract.
